1. Definitions and Interpretation

In these Terms and Conditions:

• "Platform" means the Gday LMS consultation booking and consultant portal accessible at gdaylms.com.au
• "We", "Us", "Our" refers to Gday LMS Pty Ltd (ABN 25 693 545 854, ACN 693 545 854)
• "You", "Your" refers to the individual accessing or using our Platform, whether as a User or Consultant
• "User" means any person seeking to book consultations through the Platform
• "Consultant" means a verified professional offering consultation services through the Platform
• "Services" means the consultation booking, payment processing, and related services provided through the Platform
• "Connected Platforms" means our network of specialty websites including GdayVet, GdayDoctor, GdayNurse, GdayRadiographer, GdayPhysiotherapist, GdayPharmacist, GdayOptometrist, GdayDentist, and GdayEngineer

2. About Our Platform

2.1 We provide:

• A marketplace connecting Users with verified Consultants
• Booking and scheduling functionality
• Secure payment processing via Stripe
• Consultant verification and profile management
• Integration with our network of Connected Platforms

2.2 We do NOT:

• Employ, supervise, or control Consultants
• Provide medical, legal, or professional advice
• Guarantee the quality, accuracy, or outcomes of consultations
• Provide educational courses or exam preparation (these are offered through our Connected Platforms)

3. Eligibility and Account Registration

4. Terms for Users

4.1 Booking Consultations:

• You may browse Consultant profiles and book consultations through the Platform
• Payment is required at the time of booking and is processed securely via Stripe
• You will receive confirmation of your booking via email
• Consultant contact details will be provided after payment confirmation

4.2 User Responsibilities:

• Provide accurate information about your consultation needs
• Attend scheduled consultations or cancel in advance as per cancellation policy
• Communicate respectfully with Consultants
• Understand that consultations are for guidance only and do not replace formal professional services

5. Terms for Consultants

5.1 Eligibility:

• You must hold valid professional registration in your field (e.g., AHPRA registration, Engineers Australia membership)
• You must provide accurate qualification and registration details
• You must complete our verification process before offering services

5.2 Consultant Responsibilities:

• Maintain accurate and up-to-date profile information
• Keep your availability calendar current
• Attend scheduled consultations or notify Users of cancellations promptly
• Provide professional, ethical, and competent consultation services
• Maintain valid professional registration and insurance as required by your profession
• Comply with all applicable professional codes of conduct

5.3 Independent Contractor Status:

• Consultants are independent contractors, not employees of Gday LMS
• You are responsible for your own taxes, insurance, and professional obligations
• You determine your own consultation fees (subject to platform guidelines)
• You are solely responsible for the advice and services you provide to Users

6. Payments and Fees

6.1 For Users:

• All fees are in Australian Dollars (AUD) and include GST where applicable
• Payment is processed securely via Stripe at the time of booking
• You authorize the charge to your selected payment method

6.2 For Consultants:

• Consultation fees are paid to you via Stripe Connect
• A platform service fee may be deducted from each transaction
• Payouts are processed according to Stripe's standard payout schedule
• You are responsible for setting up and maintaining your Stripe Connect account
• You are responsible for reporting income and paying applicable taxes

6.3 Refund Policy:

• Refunds for cancelled consultations are handled on a case-by-case basis
• Cancellations made more than 24 hours before the scheduled time may be eligible for a full refund
• Late cancellations or no-shows may not be eligible for refunds
• Statutory consumer rights under Australian Consumer Law remain unaffected

9. Intellectual Property

9.1 All Platform content, including text, graphics, logos, and software, is the property of Gday LMS Pty Ltd or its licensors.

9.2 You may not reproduce, distribute, or create derivative works from Platform content without our express written permission.

9.3 Consultants retain ownership of their own intellectual property and content shared during consultations.

10. Acceptable Use Policy

You agree NOT to:

• Share, sell, or transfer your account credentials
• Use the Platform for any unlawful or fraudulent purpose
• Misrepresent your identity, qualifications, or credentials
• Harass, abuse, or harm other users or Consultants
• Attempt to bypass the Platform to avoid fees
• Interfere with or disrupt the Platform's operation
• Upload malicious code or viruses
• Collect or harvest user information
• Violate any applicable laws or regulations

11. Termination and Suspension

11.1 We may suspend or terminate your account immediately without notice if:

• You breach any provision of these Terms
• We suspect fraudulent or unauthorized activity
• You misrepresent your qualifications (for Consultants)
• Required by law or legal process
• The Platform is discontinued

11.2 Upon termination:

• Your access to the Platform will cease immediately
• Pending bookings may be cancelled
• Outstanding payments to Consultants will be processed according to Stripe terms
• Provisions that by their nature should survive termination shall remain in effect

12. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

13. Connected Platforms

13.1 Our Platform integrates with our network of specialty Connected Platforms (GdayVet, GdayDoctor, etc.).

13.2 Each Connected Platform has its own Terms and Conditions and Privacy Policy.

13.3 Your use of Connected Platforms is subject to their respective terms.

14. Modifications to Terms

14.1 We reserve the right to modify these Terms at any time. Material changes will be notified by:

• Updating the "Effective Date" at the top of these Terms
• Posting a notice on the Platform
• Sending an email to registered users (for significant changes)

14.2 Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

15.1 These Terms are governed by the laws of Victoria, Australia.

15.2 Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

15.3 You agree to attempt resolution through good faith negotiation before initiating legal proceedings.

16. General Provisions

16.1 Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Platform.

16.2 Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force.

16.3 Waiver: Our failure to enforce any right shall not constitute a waiver of such right.

16.4 Assignment: You may not assign these Terms without our prior written consent.
